- Regarding the general situation:+ The number of registered enterprises suspend business with the term of the country's 14 924 enterprises, up 32.7% over the same period last year, the number of enterprises after the expiration of suspension will return to the business conditions.+ Suspended business activities or pending registration is not possible for the whole country is 25 495 enterprises, down 8.3% from the same period last year.- According to the type of enterprise:+ Among registered enterprises suspend business with 5611 deadline one member limited liability companies accounted for 37.6%; has 5,102 members limited company for 34.2% 2; there are 1,608 private enterprises accounted for 10.8%; 2602 the company with 17.4% stake and partnership with 01 representing 0.01%.+ For enterprises suspended operation not registered or pending possible 10 538 member limited liability companies accounted for 41.3% 1; has 8012 member limited liability companies accounted for 31.4% 2; there are 2,346 private enterprises accounted for 9.2% and has 4,599 joint-stock companies accounted 18.0%.- The scale of capital:According to statistics in Table 3 shows, the number of enterprises suspended operation not registered or pending dissolution mostly sized enterprises registered capital of less than 10 billion accounted 93.0% of the total suspended business activities or pending registration is not possible. Compared to the same period of 2015, the suspension of business activities registered capitalized under 10 billion decrease of 9.3%.

Thủ tục đăng ký - Công ty Cổ phần.

Thành phần hồ sơ, bao gồm:

1. Giấy đề nghị đăng ký doanh nghiệp theo mẫu quy định tại Phụ lục I-4 Thông tư số 20/2015/TT-BKHĐT;

2. Điều lệ công ty (có họ, tên và chữ ký của Cổ đông sáng lập là cá nhân và người đại diện theo pháp luật hoặc người đại diện theo ủy quyền của cổ đông sáng lập là tổ chức);

3. Danh sách cổ đông sáng lập và cổ đông là nhà đầu tư nước ngoài. Danh sách người đại diện theo ủy quyền đối với cổ đông nước ngoài là tổ chức

Danh sách cổ đông sáng lập công ty cổ phần lập theo mẫu quy định tại Phụ lục I-7 Thông tư số 20/2015/TT-BKHĐT.

Danh sách cổ đông là nhà đầu tư nước ngoài theo mẫu quy định tại Phụ lục I-8 Thông tư số 20/2015/TT-BKHĐT.

Danh sách người đại diện theo ủy quyền (của cổ đông là tổ chức nước ngoài) theo mẫu quy định tại Phụ lục I-10 Thông tư số 20/2015/TT-BKHĐT.

4. Bản sao hợp lệ các giấy tờ sau đây:

a. Một trong các giấy tờ chứng thực cá nhân quy định tại Điều 10 Nghị định số 78/2015/NĐ-CP đối với trường hợp người thành lập doanh nghiệp là cá nhân;

b. Quyết định thành lập hoặc Giấy chứng nhận đăng ký doanh nghiệp hoặc giấy tờ tương đương khác, một trong các giấy tờ chứng thực cá nhân quy định tại Điều 10 Nghị định số 78/2015/NĐ-CP của người đại diện theo ủy quyền và văn bản ủy quyền tương ứng đối với trường hợp người thành lập doanh nghiệp là tổ chức;

c. Giấy chứng nhận đăng ký đầu tư đối với trường hợp doanh nghiệp được thành lập hoặc tham gia thành lập bởi nhà đầu tư nước ngoài hoặc tổ chức kinh tế có vốn đầu tư nước ngoài theo quy định tại Luật Đầu tư và các văn bản hướng dẫn thi hành.
