Legal Department

- Providing legal advice and working together with the relevant business divisions of the Company in assisting them to comply with the relevant laws of Vietnam in relation to all products and services of the Company;
- Negotiating and reviewing commerce and service agreement between the Company and its partners for ensuring the compliance with the relevant laws of Vietnam and protection of the Company’s right and benefit, including but not limited to the lease agreement, licensing agreement; sale and purchase of equipment, etc;
- Providing legal advice and participating in various stages of the M&A deals arranged by the Company for supporting the Company’s client, including: legal due diligence, negotiation of terms and clauses of the share purchase agreement, shareholder agreement, reviewing these agreement, etc;
- Preparing/reviewing various bond subsription agreements, share subscription agreement and other documents in relation to the issuance of corporate bond, private placement for compliance with the relevant laws of Vietnam;
- Reviewing various internal regulations of the Company for compliance with the relevant laws of Vietnam such as: the Company’s Charter; Regulations of operation of the Board of Management; of the Board of Inspection; Regulations on Anti-Money Laundring; Internal Labour Regulations;
- Following up the compliance with FATCA requirements in accordance with the State Securities Commission’s guidance;
- Regularly updating new legal regulations related to the operations of the Company to the Company’s leader and staffs.

Partner: 

- Provided legal advice to clients in various issues, including but not limited to investment, merger and acquisition, banking, labour, tax.
- Led and monitored the team in preparation of legal due diligence report for purpose of M&A deal of client. 
- Led, guided and supervised the team in all and every necessary stages of incorporation and successfully obtaining Investment Certificates, Rep. Office Licenses, Branch Certificates for various clients.
- Prepared/reviewed various contracts, agreements to clients including but not limited to sale contract, service contract, lease agreements, loan agreement, credit agreement, pledge agreements, joint venture agreement, share purchase agreement and shareholder agreemtn (for M&A transactions), franchising agreement, licensing agreement, labour contract…
- Prepared/reviewed various internal rules and regulations to clients, including but not limited to internal labour regulations, regulation on company’s management, charter (i.e memorandum and article of association of the company),..
- Represented clients to settle several disputes in commerce and labour sectors.
- Led and monitored the team in preparation of the Monthly Legal Update and the Legal Alert which analyses and raises opinions on newly issued and important legal documents to clients.
- Led internal trainings on various legal issues.
- Other ad-hoc legal issues of clients from time to time.
